TERMS OF SERVICE

Version: 1.0

Last Updated: 30.06.2026
Effective Date: 30.06.2026

1Definitions

These Terms govern the use of the Services provided by GitSec Ltd ("GitSec"). For the purposes of these Terms:

  • Account means a registered account used to access the Services.
  • Customer means any individual or legal entity accessing or using the Services.
  • Customer Content means repositories, source code, metadata, configurations, and other content uploaded, stored, backed up, or processed through the Services.
  • Services means the repository backup, recovery, integrity verification, storage, and related services provided by GitSec.
  • Subscription means a paid plan purchased by a Customer for access to certain features of the Services.
  • Workspace means a Customer environment within the Services through which repositories and related resources are managed.

2Acceptance of Terms

By creating an Account or using the Services, the Customer agrees to be bound by these Terms.

Where the Services are used on behalf of a company or other legal entity, the individual accepting these Terms represents and warrants that it has the authority to bind such entity to these Terms.

3Service Description

GitSec provides repository backup, recovery, integrity verification, disaster recovery, and related data protection services for supported Git platforms. Services include:

  • Full repository backup (code, branches, tags).
  • Metadata backup (issues, pull requests, wikis).
  • Point-in-time restoration capabilities.

GitSec may modify, update, improve, or discontinue features of the Services as part of ongoing development and operational requirements.

4Subscription & Billing

  • Subscription: Paid plans are billed on a monthly or annual basis, depending on the plan selected by the Customer.
  • Pricing Changes: GitSec may change its pricing from time to time. Any pricing changes will become effective thirty (30) days after being published on the GitSec website or otherwise made available to Customers and will apply from the Customer's next renewal date. Pricing changes will not affect the current Subscription term.
  • No Cash Refunds — Service Credits: Except where required by applicable law, GitSec does not provide cash or monetary refunds. Where a plan change (including a downgrade) results in an unused portion of a prepaid Subscription period, GitSec may issue a non-refundable service credit to the Customer's account. Service credits have no cash value and may only be applied toward future purchases of the Services. Additional details regarding service credits, cancellations, and refunds are set out in the applicable Consumer Purchase Terms.
  • Failed Payments: If GitSec is unable to successfully process a scheduled payment, the Customer will be notified and granted a grace period of fourteen (14) days to complete the outstanding payment. If payment is not received within the applicable grace period, GitSec may suspend the Customer's access to the Services for a period of up to sixty (60) days, during which access to certain features of the Services, including the creation of new backups, may be restricted or unavailable. The Customer may reactivate the Subscription at any time during the suspension period by paying all outstanding amounts. If payment remains outstanding at the end of the suspension period, GitSec may terminate the Subscription, after which Customer Content may be permanently deleted in accordance with GitSec's data retention practices.
  • Taxes: Unless expressly stated otherwise, all fees are exclusive of applicable taxes, duties, levies, or similar governmental charges. The Customer is responsible for any such taxes associated with its purchase or use of the Services.

5User Responsibilities

To access certain features of the Services, a Customer may be required to create an Account and provide accurate, complete, and up-to-date information.

The Customer is responsible for maintaining the confidentiality and security of its Account credentials and for all activities conducted through its Account.

The Customer must promptly notify GitSec of any actual or suspected unauthorized access to or use of its Account.

Unless expressly permitted under the applicable Subscription plan, Account credentials may not be shared with other individuals.

The Customer represents and warrants that:

  • it owns or has the necessary rights to any Customer Content processed through the Services;
  • its use of the Services complies with all applicable laws and regulations; and
  • it will not use the Services for any unlawful, fraudulent, or unauthorized purpose.

The Customer must not interfere with or disrupt the operation, security, or integrity of the Services.

6Customer Content and Intellectual Property

  • Customer Content: The Customer retains all right, title, and interest in and to its Customer Content. Nothing in these Terms transfers ownership of any Customer Content to GitSec.
  • Licence to GitSec: The Customer grants GitSec a limited, non-exclusive, worldwide licence to access, store, process, transmit, and otherwise use Customer Content solely to provide, maintain, secure, support and operate the Services, comply with applicable legal obligations, and as otherwise instructed by the Customer.
  • Customer Content Responsibility: The Customer is solely responsible for all Customer Content processed through the Services, including its legality, accuracy, integrity, quality, and use. The Customer represents and warrants that it has obtained all rights, permissions, consents, and authorisations necessary to use, store, process, transmit, and back up such Customer Content through the Services.

GitSec does not review, monitor, verify, endorse, or assume responsibility for Customer Content and shall not be liable for any Customer Content uploaded, stored, backed up, restored, transmitted, or otherwise processed through the Services.

Where the Customer elects to use a Customer-managed or third-party storage environment, the Customer remains responsible for configuring and maintaining access to such storage environment.

  • GitSec Intellectual Property: GitSec and its licensors retain all right, title, and interest in and to the Services, including all software, technology, documentation, trademarks, logos, and related intellectual property rights.
  • Acceptable Use: The Customer shall comply with the applicable Acceptable Use Policy in connection with its use of the Services.

7Service Availability & SLA

GitSec aims to maintain a high level of service availability. However, the Services may be unavailable from time to time due to scheduled maintenance, upgrades, emergency repairs, third-party service failures, force majeure events, or other circumstances beyond GitSec's reasonable control.

GitSec does not guarantee uninterrupted or error-free operation of the Services.

Any service level commitments, uptime targets, service credits, or related remedies shall be governed exclusively by the applicable Service Level Agreement ("SLA"), where provided.

Third-Party Storage Environments. Where the Services support integration with, or storage of Customer Content in, third-party storage environments selected or controlled by the Customer, GitSec is not responsible for the availability, security, retention, deletion, integrity, or performance of such third-party environments.

8Disclaimers

The Services are provided on an "as available" basis.

To the maximum extent permitted by applicable law, GitSec does not warrant that the Services will be uninterrupted, error-free, secure, or available at all times.

Although GitSec is designed to support the backup, protection, and recovery of Customer Content, GitSec does not guarantee that any backup, restoration, recovery, replication, or data protection process will be successful in every instance or prevent all data loss.

The Customer is responsible for maintaining appropriate backup and business continuity measures appropriate to its own operational requirements.

9Limitation of Liability

To the maximum extent permitted by applicable law, GitSec shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including any loss of profits, revenue, business opportunities, goodwill, or data.

GitSec's total aggregate liability arising out of or relating to the Services or these Terms shall not exceed the total fees paid by the Customer to GitSec during the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for fraud, fraudulent misrepresentation, or any other liability that may not lawfully be limited or excluded.

9. Termination

  • By Customer: The Customer may cancel its Subscription at any time through its Account settings. Unless otherwise required by applicable law or the applicable Consumer Purchase Terms, cancellation will take effect at the end of the current Subscription term and no refund will be provided for any unused portion of the Subscription.
  • By GitSec: GitSec may suspend or terminate access to the Services where the Customer breaches these Terms, fails to pay applicable fees, engages in fraudulent or unlawful activity, or where such action is reasonably necessary to protect the Services, other customers, or GitSec's legitimate interests.
  • Data Retention: Following termination or cancellation of a Subscription, Customer Content may be retained for up to thirty (30) days to allow retrieval or recovery, after which it may be permanently deleted in accordance with GitSec's data retention practices, unless a longer retention period is required by applicable law or GitSec's legal obligations.
  • Legal Records: Notwithstanding the deletion of Customer Accounts or Customer Content, GitSec may retain limited personal data and related records where necessary to comply with applicable legal obligations, establish, exercise, or defend legal claims, maintain security or audit records, or evidence the Customer's acceptance of applicable legal terms and policies, to the extent permitted or required by applicable law.

10Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them shall be governed by the laws of England and Wales, without regard to conflict of law principles.

Subject to any mandatory rights available to consumers under applicable law, the courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.

11Changes to Terms

GitSec may update these Terms from time to time to reflect changes in the Services, applicable laws, business practices, or operational requirements.

Any changes will become effective thirty (30) days after publication on the GitSec website or otherwise being made available to Customers, unless a longer notice period is required by applicable law.

Continued use of the Services after the effective date of the updated Terms constitutes acceptance of the revised Terms.
